These Terms of Service (“Terms”) govern your use of the Simply MTD software platform and related services (the “Services”).
By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

References to “we”, “us”, or “our” mean Simply MTD Ltd.
3. Eligibility and Account Creation
3.1 You may use the Services if you:
are at least 18 years old; and
have authority to act for yourself or for the business or client on whose behalf you use the Services.
3.2 If you create an account on behalf of a business or client, you confirm that you have authority to bind that business or client to these Terms.
3.3 You must provide accurate, complete, and up-to-date information when creating and maintaining your account.
4. Description of the Services
4.1 The Services provide software tools to assist with:
bookkeeping and record keeping;
preparation and submission of VAT returns under Making Tax Digital;
preparation and submission of Income Tax submissions under MTD for ITSA (where available);
related reporting and administrative features.
4.2 The Services:
facilitate the preparation and electronic submission of data to HMRC;
rely on data entered or approved by users.
4.3 The Services do not provide tax advice, legal advice, or accounting advice.
You are responsible for determining whether the Services are suitable for your circumstances and for obtaining professional advice where required.
5. User Responsibilities
5.1 You are solely responsible for:
the accuracy, completeness, and classification of all data entered into the Services;
reviewing all information and submissions before they are sent to HMRC;
meeting statutory filing deadlines and compliance obligations;
maintaining appropriate records outside the Services where required by law.
5.2 You must keep your login credentials secure and must not share them except where access controls within the Services permit authorised users.
5.3 You must notify us promptly if you become aware of any unauthorised access to your account.
6. Agents, Clients, and Shared Access
6.1 The Services allow accountants and agents to manage multiple clients under a single account.
6.2 Clients may be granted access to the same data sets used by their accountant or agent.
6.3 Where an agent uses the Services on behalf of a client:
the agent is responsible for ensuring they hold appropriate HMRC authorisation; and
the client remains legally responsible for their tax affairs.
7. HMRC Integration
7.1 The Services integrate with HMRC systems using HMRC-provided APIs.
7.2 Submissions to HMRC are made:
using the client’s and/or agent’s HMRC authorisation credentials; and
at the direction of the user.
7.3 We do not guarantee that:
HMRC systems will be available, uninterrupted, or error-free; or
HMRC will accept any submission.
7.4 We are not responsible for delays, failures, or rejections caused by HMRC systems or third-party services outside our control.
8. Fees, Trials, and Payment
8.1 The Services are offered on:
a free tier; and
paid subscription tiers.
8.2 Paid subscriptions may include a three-month free trial, after which fees will become payable unless the subscription is cancelled.
8.3 Subscriptions may be billed monthly or annually, as selected at sign-up.
8.4 All fees are stated exclusive of VAT, which will be charged where applicable.
8.5 Payments are processed via third-party payment providers (for example Stripe). We do not store full payment card details.
8.6 We may change pricing or subscription features on reasonable notice
9. Suspension and Termination
9.1 We may suspend or terminate access to the Services if:
you breach these Terms;
payment is overdue;
we reasonably suspect misuse, fraud, or unlawful activity; or
continued provision would breach legal or regulatory obligations.
9.2 You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period unless stated otherwise
10. Intellectual Property
10.1 All intellectual property rights in the Services belong to Simply MTD Ltd or its licensors.
10.2 We grant you a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms.
10.3 You must not:
copy, modify, or reverse engineer the Services;
use the Services to create competing products.
11. Data Protection
11.1 We process personal data in accordance with our Privacy Notice.
11.2 You remain the controller of data you input relating to your clients or business, and we act as a processor where applicable.
12. Disclaimers
12.1 The Services are provided on an “as is” and “as available” basis.
12.2 We do not warrant that the Services will:
meet all your requirements; or
prevent errors, penalties, or compliance issues.
12.3 You acknowledge that:
tax law and HMRC requirements change; and
ultimate responsibility for compliance remains with you.
13. Limitation of Liability
13.1 Nothing in these Terms limits or excludes liability for:
death or personal injury caused by negligence;
fraud or fraudulent misrepresentation; or
any liability which cannot be excluded by law.
13.2 Subject to clause 13.1, we will not be liable for:
indirect or consequential loss;
loss of profits, business, or data;
penalties, interest, or surcharges imposed by HMRC, except to the extent caused directly by our breach of these Terms.
13.3 Subject to clause 13.1, our total liability to you arising out of or in connection with the Services shall not exceed the total subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
14. Indemnity
You agree to indemnify us against losses arising from:
inaccurate or incomplete data supplied by you;
misuse of the Services;
breach of these Terms.
15. Changes to the Services or Terms
We may update the Services or these Terms from time to time. Continued use after changes take effect constitutes acceptance of the updated Terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
